Welcome to FolioCraft. By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully before engaging with us. If you do not agree to these Terms, please do not use our website or services.

1. Acceptance of Terms

By accessing this website or entering into a project engagement with FolioCraft, you confirm that:

• You are at least 18 years old and legally capable of entering into a binding agreement.
• If acting on behalf of a company or organization, you have the authority to bind that entity to these Terms.
• You have read, understood, and agree to be bound by these Terms and our Privacy Policy.

These Terms apply to all visitors, prospective clients, and active clients of FolioCraft.

2. Services Provided

FolioCraft specializes in web development and AI-powered automation solutions for businesses. Our services include, but are not limited to:

• Custom Web Development: Design and development of websites, landing pages, and web applications tailored to your brand and goals.
• AI Automation Systems: Integration of AI agents and automated workflows (e.g., WhatsApp, Instagram, Facebook messaging automation) to streamline client communications.
• Dashboard & CRM Solutions: Development of client-facing dashboards and internal management tools.
• Ongoing Maintenance & Support: Post-launch support, updates, and performance monitoring as outlined in individual service agreements.

The specific scope of work, deliverables, milestones, and pricing for each project will be documented and agreed upon in a separate written proposal or service contract before work begins. These Terms apply alongside and do not replace any such agreements.

3. Project Engagement & Payments

All project engagements are subject to the following general conditions:

• Proposals: We will provide a written proposal outlining scope, timeline, and cost before any work begins. Work commences only after written approval of the proposal.
• Deposits: Most projects require a deposit (typically 50%) before work starts. The remaining balance is due upon project completion or per the milestones defined in the agreement.
• Late Payments: Invoices unpaid beyond the agreed payment period may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to pause work on projects with overdue payments.
• Revisions: Each project includes a defined number of revision rounds as stated in the proposal. Additional revisions beyond the agreed scope will be billed at our standard hourly rate.
• Cancellations: If you cancel a project after work has begun, you remain responsible for payment for all work completed up to the date of cancellation. Deposits are non-refundable once the project has commenced.

4. Client Responsibilities

A successful project is a collaboration. As a client, you agree to:

• Provide accurate, complete, and timely information, content, and feedback required to carry out the project.
• Designate a primary point of contact who is available and authorized to make decisions during the project.
• Review and respond to deliverables and requests for feedback within reasonable timeframes (typically 5 business days, unless otherwise agreed).
• Ensure that all materials you provide (text, images, logos, third-party assets) do not infringe on any intellectual property rights and that you have the legal right to use them.
• Not use our services or the resulting deliverables for any unlawful, fraudulent, or harmful purposes.

Delays caused by failure to provide required materials or timely feedback may result in adjusted timelines and additional costs, which will be communicated in advance.

5. Intellectual Property

FolioCraft's Content: All content on this website — including text, graphics, design, logos, code, and branding — is the property of FolioCraft or its respective licensors and is protected under applicable copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Client Project Deliverables: Upon receipt of full payment for a project, FolioCraft transfers ownership of all custom-built deliverables (designs, code, written content) to the client, as specified in the project contract. This transfer excludes:

• Any third-party libraries, frameworks, or tools used under their own open-source or commercial licenses.
• FolioCraft's proprietary internal tools, templates, or methodologies used to build the project.
• Any assets licensed from third parties (e.g., stock imagery, icon libraries) where sub-licensing is restricted.

FolioCraft reserves the right to showcase completed work in our portfolio and marketing materials unless explicitly agreed otherwise in the project contract.

6. Confidentiality

Both parties agree to keep confidential any sensitive business information disclosed during the course of the engagement. FolioCraft will not share, sell, or disclose your proprietary business information, trade secrets, or client data to any third party except as required to perform the services or by law. We expect the same discretion from clients regarding any non-public information about our processes, pricing, or tools shared during the project.

7. Limitation of Liability

To the maximum extent permitted by applicable law, FolioCraft shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with:

• Your use of or inability to use our website or services.
• Errors, omissions, or interruptions in service delivery.
• Third-party tools, integrations, or platform outages outside our control (e.g., API changes by Meta, Google, or other platforms).
• Loss of data, revenue, or business opportunities.

In no event shall FolioCraft's total cumulative liability exceed the total fees paid by you for the specific project giving rise to the claim, in the 3 months preceding the event. Some jurisdictions do not allow limitation of liability for certain damages — in such cases, our liability is limited to the greatest extent permitted by law.

8. Warranties & Disclaimers

FolioCraft provides services on an "as-is" and "as-available" basis. While we strive to deliver high-quality work, we make no warranties — express or implied — regarding:

• Uninterrupted or error-free operation of any delivered software or automation.
• Specific business outcomes, conversion rates, or revenue generated from our work.
• Compatibility with future updates to third-party platforms or services beyond our control.

We do warrant that all work will be performed with reasonable skill and care in accordance with industry standards, and that deliverables will materially conform to the agreed specifications at the time of delivery.

9. Third-Party Services & Integrations

Many of our services involve integration with third-party platforms (e.g., Meta, WhatsApp Business API, n8n, OpenAI, payment gateways). By requesting such integrations, you acknowledge that:

• Use of those platforms is subject to their own terms of service, which you are responsible for reviewing and complying with.
• FolioCraft is not responsible for changes, outages, or policy updates made by third-party providers that may affect the functionality of delivered systems.
• Additional costs associated with third-party platform fees, API subscriptions, or licensing are your responsibility unless explicitly included in our proposal.

10. Termination

Either party may terminate a project engagement by providing written notice. In the event of termination:

• You are responsible for payment for all work completed up to the termination date.
• FolioCraft will deliver all completed work and associated files within 14 days of the final payment being received.
• We reserve the right to immediately terminate engagements without notice in cases of fraud, abusive behavior, or material breach of these Terms.

We also reserve the right to restrict or terminate access to our website for any visitor who violates these Terms or engages in behavior that disrupts the site or other users.

11. Dispute Resolution

In the event of a dispute arising from or relating to these Terms or any project engagement, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute may be escalated to mediation or arbitration before any legal proceedings are initiated.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes not resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the courts of Morocco.

13. Modifications to These Terms

FolioCraft reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to this page with an updated "Last updated" date. It is your responsibility to review these Terms periodically. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
